Abstract

Good corporate governance has emerged as a fundamental determinant of organisational sustainability and competitiveness in the 21st century. Beyond mere compliance with legal requirements, it represents a holistic framework of policies, processes, and ethical standards designed to balance the interests of diverse stakeholders. This paper examines how corporate governance functions as a strategic asset, enabling organisations to achieve sustained success by fostering transparency, accountability, and responsible decision-making. Drawing on both global and Indian contexts, it explores the historical evolution of corporate governance, the theoretical foundations underpinning its principles, and its tangible impact on risk management, investor confidence, and organisational innovation. Case studies from leading global corporations, including Toyota, Unilever, and IBM, as well as Indian exemplars such as the Tata Group and Infosys, illustrate how governance mechanisms translate into superior performance. The analysis also addresses the challenges of governance failures, including high-profile corporate scandals, and outlines future trends such as ESG integration and AI-driven oversight. The findings underscore that effective corporate governance is not simply a legal obligation but a strategic imperative that enables a “virtuous cycle” of trust, performance, and growth.
